Terms and conditions

1. Who we are

The cripto.md service ("cripto.md", "we") is operated by December Capital SRL, a legal entity registered in the Republic of Moldova, IDNO 1005600041997, with its registered office at str. M. Sadoveanu 28, Chisinau.

2. What these terms cover

These terms apply to the cripto.md site, to your customer account and to every conversion between crypto-assets and Moldovan lei (MDL) or euro (EUR) that you order through us. Alongside them apply:

• the Privacy policy, which explains what data we process and why;
• the AML/KYC policy, which explains identity and transaction checks;
• the Complaints procedure;
• the conditions shown for each individual order (the rate, the fee, the final amount, the payment deadline).

Where a condition shown for an order differs from these terms, the condition shown prevails for that order.

3. Terms used

Crypto-asset

a digital representation of a value or a right that can be transferred and stored electronically using distributed ledger technology (for example Bitcoin, Ether, USDT).

Conversion or order

buying, selling or exchanging a crypto-asset against money or against another crypto-asset, confirmed by you on the site.

Reference price

the market price of the asset, taken from the liquidity sources we use at the moment of the quote.

Receiving address

the blockchain address or bank account (IBAN) you give us to receive the result of the conversion.

Own wallet

a crypto wallet whose private keys you control, rather than a third-party platform.

4. Who can use the service

You can use cripto.md if all of the following are true:

• you are at least 18 years old and have full legal capacity;
• you act in your own name and on your own behalf, not for someone else, unless you represent a legal entity and show us your authority to do so;
• you are not subject to international or national sanctions and do not live in a jurisdiction we exclude under the AML/KYC policy;
• the money and crypto-assets you use come from a lawful source.

We may refuse to open an account or to execute an order without giving the reason where the law forbids us from giving it.

5. Your account and its security

• One account per person. The details in your account must be true, complete and up to date.
• You are responsible for keeping your password, confirmation codes and the device used for two step authentication confidential. Withdrawals require two step confirmation.
• We will never ask you for your password, your confirmation codes, your online banking password or the recovery phrase of a wallet. Anyone asking for them in our name is not cripto.md.
• If you suspect someone else has access to your account, tell us at once on +373 79 300 238 or at support@cripto.md. We lock the account as fast as we can once we receive your message.
• You can close your account at any time. Data the law requires us to keep is kept for the period set out in the Privacy policy.

6. How a conversion is carried out

1. The quote. You choose what you pay with and what you receive. We show you the exact amount you receive, with every fee already included.
2. Receiving details. You give the receiving address. For crypto-assets, check the address and the network (for example TRC-20 or ERC-20): a transfer on another network or to a wrong address usually cannot be recovered.
3. Confirmation. At confirmation the rate is held for 30 seconds. Confirming within that window is a firm order at the amount shown.
4. Payment. You receive the payment instructions and a deadline by which the payment must reach us. Pay only from accounts, cards or wallets that belong to you.
5. Delivery. Once the payment is received and checked, we send the result of the conversion. Crypto usually leaves in 3-30 minutes, depending on the network. Transfers in lei arrive the same business day if the order is confirmed by 15:00.

If the payment arrives after the deadline or in a different amount from the one confirmed, we offer you a new quote at the rate at that time or return the amount received, less only the direct cost of returning it (for example the network fee or the bank fee), by the same route it came.

Blockchain transactions are irreversible. Once a crypto transfer has been sent to the address you gave, we cannot cancel it.

cripto.md does not hold crypto-assets on behalf of customers: the result of each conversion is sent to the receiving address given. We do not offer deposit accounts, interest, lending or leveraged trading.

7. Rates and fees

The amount shown before you confirm is the final amount. Nothing is added at the last step.

Your bank or card issuer may charge its own fees, which we do not control. Fees may change for future orders. An order already confirmed does not change.

8. Limits and identity checks

Without identity verification you can convert up to 10,000 MDL a month, with a confirmed email address. A verified account raises the limit to 500,000 MDL a month. For larger amounts or for certain operations we may ask for more information, for example about the source of funds.

We may ask for identity verification at any time, even below the limits above, where the law or our risk assessment requires it. The details are in the AML/KYC policy.

9. Refusal, suspension and cancellation

We may refuse or suspend an order, or restrict an account, when:

• you do not provide the information or documents requested for verification;
• we have reasonable grounds to believe the operation is linked to fraud, money laundering, terrorist financing or a breach of sanctions;
• the payment comes from someone other than the person placing the order;
• a competent authority requires it;
• a rate was clearly shown wrongly because of a technical error. In that case we tell you and offer a correct quote or a full refund.

Where the law allows, we explain the reason and what you can do. Amounts received from you and not converted are returned, unless the law requires us to block them.

10. Risks you should know about

• Volatility. The price of crypto-assets can fall a long way and fast. You can lose part or all of the value converted.
• Irreversibility. A blockchain transfer cannot be cancelled. Check the address and the network twice.
• No guarantees. Crypto-assets are not bank deposits and are not covered by the deposit guarantee fund.
• Technology risks. Blockchain networks can be congested, can fail or be attacked. The time and cost of a transfer can vary.
• No advice. We do not give investment, tax or legal advice. Nothing on the site is a recommendation.
• Taxes. You are responsible for declaring and paying any taxes due on your operations.

11. What you may not do

• use the service for unlawful activities or with funds of unlawful origin;
• use another person's account or let anyone else use yours;
• submit false documents or misleading information;
• try to get around the limits, for example by splitting an amount into several orders or across several accounts;
• disrupt the site, access it by automated means without our consent or try to gain unauthorised access.

12. Liability

We are responsible for carrying out confirmed orders correctly, at the amount shown. We are not responsible for losses caused by:

• a wrong receiving address or network given by you;
• price movements after the order has been executed;
• delays or errors of blockchain networks, banks or payment processors that we do not control;
• someone else accessing your account because your access details were not kept safe;
• force majeure events.

Nothing in these terms limits our liability for intent or gross negligence, or the rights consumer protection law gives you.

13. Intellectual property

The cripto.md name, logo, texts and site design belong to us or are used by us under licence. You may not copy them or use them commercially without our written consent.

14. Personal data and communications

We process your data under the Privacy policy and Law No. 195/2024 on personal data protection. We email you the messages the service needs: confirmation codes, order status, changes to these terms. We send promotional messages only with your consent.

15. Complaints and disputes

If something went wrong, write to us. The procedure, the response times and the authorities you can turn to are set out on the Complaints page. Filing a complaint is free.

We try to settle any disagreement amicably. If we cannot, the dispute is settled by the competent courts of the Republic of Moldova. If you are a consumer, you keep the right to go to the court of your place of residence and to the consumer protection authorities.

16. Changes to these terms

We may change these terms, for example when the law or the service changes. We email you about material changes at least 30 days before they take effect, except for those the law imposes at shorter notice. If you do not agree, you can close your account before that date at no cost. Orders confirmed before a change remain under the version in force when they were confirmed.

17. Governing law and language

These terms are governed by the law of the Republic of Moldova. They are published in Romanian, Russian and English. If the versions differ, the Romanian version prevails.
